1.Organize and coordinate shareholders’ meetings, board meetings and functional committees meetings, including preparing meeting notices, agendas, minutes, and filing required documents with authorities..
2.Assist with capital increase/decrease, share transfers, dividend and bonus share distributions, and other stock-related matters.
3.Communicate with stock transfer agents, securities firms, and government authorities regarding stock affairs and compliance.
4.Prepare required announcements and disclosures to the Market Observation Post System (MOPS).

This is a hybrid role integrating corporate governance, legal support, and financial analysis. You will be responsible for board/shareholder meeting coordination, legal document review, and international compliance support. You will also assist in business/financial performance analysis and capital market communications, acting as a strategic partner across finance and legal functions.
【主要工作內容 Key Responsibilities】
▍股東會與法人治理 Shareholder Affairs & Governance
1.協助董事會、審計委員會、薪酬委員會、股東會等會議安排、議程資料彙整與紀錄撰寫
2.執行股務相關作業(如股利分派、過戶、員工認股、限制型股票發行、資本變更登記)
3.管理與證券股務代理機構往來,確保資訊一致性與法遵完整
4.撰寫公開資訊觀測站公告內容、召集通知與股東報告書
Assist in organizing board, audit, and compensation committee meetings and preparing meeting materials and minutes. Handle shareholder services including dividend distribution, stock issuance, and employee stock plans. Liaise with the shareholder service agent and publish required announcements to the Market Observation Post System (MOPS).
▍契約審閱與法律支援 Legal & Contract Affairs
1.審閱國內外業務/技術/授權合約,協助條款風險評估與協調談判建議
2.對接外部律師,支援法令諮詢與訴訟/仲裁案件基本資料準備
3.建立契約管理與歸檔制度,並定期檢視授權/保密等文件履行狀況
4.協助法規查核、公司章程修訂、董事責任保險等項目之法務作業
Review and manage legal documents (domestic/international), support risk assessment and coordinate with business units during negotiation. Collaborate with external counsel on legal opinions or dispute handling. Maintain legal archives and monitor contract compliance.
▍智慧財產權與跨國文件 IP & International Compliance
1.協助專利/商標申請、維護與續展,追蹤專利布局與策略建議
2.協助撰寫/審閱中英版本之法律文件、合作協議與授權合約
3.協助跨國客戶法律溝通、文件流程控管
4.整理主管機關(證交所、金管會等)公告要求回應與法遵資料準備
Support the company’s intellectual property (IP) strategy including patent and trademark applications. Review bilingual legal documents and assist in international legal correspondence and filings. Respond to regulatory inquiries from FSC, TWSE, and other authorities.
【條件要求 Requirements】
1.學歷:法律、財經、會計、管理等相關系所,大學以上學歷
2.經驗:3年以上股務或企業法務經驗,有上市櫃公司或外商經驗尤佳
3.熟悉公司法、證交法、智慧財產權、勞動基準法、會計基本知識與資本市場規範等相關法規
4.具備中英文法律文件閱讀與條文理解能力
5.擅長跨部門溝通與邏輯分析、具高責任感與細節敏感度
