Able to coordinate cross-departmental teams for product development. ‧ Possesses strong logical and time management skills, able to comprehend client requirements and translate them into executable tasks based on internal resources. ‧ Capable of managing market demand for assigned products, understanding their application principles, analyzing the market, proposing future product directions, and suggesting practical development approaches based on human resources, development schedules, and budgets. ‧ Proficient in document writing, able to draft requirement documents and present completed products. ‧ Able to proactively identify issues with the product or development process, conduct preliminary analysis of complex problems, and utilize internal resources to resolve them.

Job Overview: The Board Secretary / Compliance Specialist will play a critical role in ensuring adherence to SOX compliance requirements and managing board secretary responsibilities across Gorilla Technology’s global operations. This role demands a high degree of professionalism, fluency in English, and a proactive approach to regulatory compliance and corporate governance. Key Responsibilities: 1. Board Secretary Responsibilities • Prepare and disseminate board meeting agendas, materials, and minutes in compliance with regulatory and organizational requirements. • Maintain accurate and up-to-date records of board decisions, policies, and governance documents. • Liaise with board members to ensure compliance with governance policies and standards. • Support the preparation of annual reports, corporate filings, and statutory disclosures as required by law. • Advise on governance best practices to enhance board functionality and organizational compliance. 2. SOX Compliance Management • Oversee adherence to SOX standards across financial processes and controls. • Conduct periodic internal audits to evaluate the effectiveness of SOX compliance frameworks. • Develop and implement SOX-related policies, controls, and training programs to enhance compliance awareness. • Collaborate with internal and external auditors during SOX reviews and ensure timely resolution of audit findings. • Provide regular compliance reports to senior management and recommend process improvements to mitigate risks. 3. Cross-functional Collaboration • Partner with finance, HR, and operations teams to ensure compliance integration across business units. • Act as the primary point of contact for governance and compliance-related queries. Qualifications: • Bachelor’s degree in Accounting, Finance, Law, or a related field. • Certifications such as CPA, CIA, or Governance certifications (e.g., ICSA) are a plus. • Minimum 5 years of experience in SOX compliance, internal audit, or corporate governance roles. • Hands-on experience as a board secretary or in supporting board-level functions. • Familiarity with international compliance frameworks and governance standards. • Strong understanding of SOX requirements and governance policies. • Exceptional organizational skills with a keen attention to detail. • Professional fluency in English (written and verbal). • Strong interpersonal and communication skills to interact effectively with stakeholders at all levels. • Proficiency in using compliance management tools and software. • High integrity and ethical standards. • Proactive and solution-oriented mindset. • Ability to work independently and manage multiple priorities effectively.

Handle end-to-end recruitment, including collaboration with hiring managers to define requirements, selection processes, creating job advertisements, sourcing, screening, selecting candidates, extending offers, and facilitating onboarding. 3. Bachelor's degree or above, preferably in Human Resources Management. 2. 4+ years of solid experience in HR, with hands-on expertise in end-to-end recruitment; prior experience in technical talent acquisition is preferred. 3. Proficient in Mandarin(required) and able to communicate in conversational English. 4. Proven ability to handle confidential information with discretion. 5.
