Prologium is growing its legal department and seeks to add an experienced IP attorney to team to execute patent and IP related matters in-house and supervise external counsel. Reporting to the upline supervisor and CEO, the candidate must be a self-starter with strong problem-solving and communication skills and be business minded, able to identify and to address to the Company’s needs within his/her profession. The candidate is expected to have solid experience in the area of his/her expertise, and to be accountable for any tasks assigned to. • To work with patent division to draft, review and negotiate contracts or legal documents relating to intellectual property rights, such as testing & material transfer, joint development, collaboration, research & development, license or assignment agreements • To work cross-functionally with patent, business development, product or R&D divisions and outside counsels to maintain and manage and protect the intellectual property of the Company, such as patents, trademarks, trade secrets, design rights and other IPRs or know-hows. • To work with patent divisions to identify, prosecute or litigate matters necessary against any potential patent infringement and evaluate or formulate solutions to complex IP challenges and potential disputes. • To work cross-functionally to manage trademark portfolio and strategy and dispute matters and enforcement. • Other assigned IPR and legal matters.

We are looking for self-starter and team player with strong drive for results, sense of ownership and problem-solving skills, but also willing to take direction from senior team members or internal stakeholders. The legal counsel will be reporting to legal department head and involved in a wide range of legal matters and responsibilities. Day to day tasks are inclusive but not limited to: • Coordinating and liaising with French counsel to draft, review, advise and negotiate general commercial contracts, such as confidentiality, procurement, supply and/or other transactional legal documents with respect to the group’s overseas operations (in particular in France) •Developing, implementing and amending legal or compliance policies, procedures and guidelines of group companies, keeping up with relevant regulatory development and analysis of applicability to the group’s activities and objectives •Assisting in corporate governance matters, including supporting board secretary to prepare board and shareholders’ meeting materials as well as management overseas subsidiaries •Supporting legal matters in relation to overseas expansion and managing cross-border projects •Managing and handling dispute matters •Advising on legal, compliance and regulatory inquiries
